Med-eHUB Terms of Use
Acknowledgement and Acceptance of Terms of Use. By using www.Med~eHUB.com (“Med~eHUB” or “the website”), subscribers and authorized visitors agree to be bound by the following terms and conditions ("Terms of Use"). As a condition to the use of Med~eHUB, subscribers and authorized visitors warrant to Med~eHUB, LLC (the “Company”) the content of the website will not be used for any purpose that is unlawful or prohibited by these terms. Violation any of these Terms of Use will result in the termination of authorized access to the website. Exercising or not exercising voluntary access to Med~eHUB is the sole right and remedy with respect to any dispute with the Company.
Description of Website. Med~eHUB is your Web Rxpert for healthcare reimbursement policy information. Med~eHUB provides a HUB for direct content located on hundreds of private, state and federal government websites. The Company has no control over the content of these websites and the Company can make no guarantee about this content, including the accuracy, currency or quality. The Company is not responsible for inadvertent content or content viewed as objectionable by any subscriber.
Modifications to Terms of Use. The Company may change these Terms of Use as necessary. Any failure to abide by the then current Terms of Use may result in termination of Med-eHUB. Continued use of Med-eHUB constitutes: (1) an acknowledgment of these Terms of Use and its modifications; and (2) an agreement to abide and be bound by these Terms of Use and its modifications.
Modifications to the Website. Med-eHUB reserves the right to modify or discontinue any portion with or without notice. Med-eHUB shall not be liable upon exercise of its right to modify or discontinue.
Disclaimer of Warranties and Limitation of Liability. TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW THE MED-EHUB SUBSCRIPTION AND ITS CONTENTS, INCLUDING BUT NOT LIMITED TO ALL DATA AND TOOLS THEREIN, ARE PROVIDED "AS IS" AND WITHOUT EXPRESS OR IMPLIED WARRANTIES OF ANY KIND BY EITHER MED-EHUB OR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF THE MED-EHUB SUBSCRIPTION AND ITS CONTENT, INCLUDING BUT NOT LIMITED TO ANY EXPRESS OR IMPLIED WARRANTY (i) AS TO THE ACCURACY OR COMPLETENESS OF THE DATA CONTAINED IN THE MED-EHUB SUBSCRIPTION, AND (ii) OF MERCHANTABILITY, ACCURACY, QUIET ENJOYMENT, NONINFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. OTHER THAN AS EXPRESSLY SET FORTH HEREIN, NO COVENANTS, WARRANTIES OR INDEMNITIES OF ANY KIND ARE GRANTED BY MED-EHUB TO SUBSCRIBERS AND AUTHORIZED VISITORS. NEITHER MED-EHUB NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF THE MED-EHUB SUBSCRIPTION OR ITS CONTENT SHALL BE LIABLE FOR ANY DAMAGES THAT RESULT FROM YOUR USE OF THE MED-EHUB SUBSCRIPTION SUCH AS LOST TIME, LOST PROFITS, COMPUTER PROBLEMS, OR OTHER SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, REGARDLESS OF WHETHER SUCH DAMAGES ARE FORESEEABLE. IN NO EVENT SHALL MED-EHUB’S LIABILITY HEREUNDER EXCEED THE AMOUNT PAID TO MED-EHUB BY SUBSCRIBERS AND AUTHORIZED VISITORS HEREUNDER.
ALL SUBSCRIBERS AND AUTHORIZED VISITORS EXPRESSLY AGREE THAT USE OF THE WEBSITE IS AT SUBSCRIBERS’ AND AUTHORIZED VISITORS’ SOLE RISK. THE WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SUBSCRIBERS AND AUTHORIZED VISITORS UNDERSTAND AND EXPRESSLY AGREE THAT USE OF MED-EHUB IS AT THEIR SOLE RISK, THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF MED-EHUB’S WEBSITE IS AT THEIR OWN DISCRETION AND RISK AND THAT SUBSCRIBERS AND AUTHORIZED VISITORS WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO COMPUTER, HARDWARE AND/OR SOFTWARE SYSTEMS OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. FURTHER, LINKS TO THIRD PARTY SITES ON THIS WEB SITE ARE FOR SUBSCRIBERS’ AND AUTHORIZED VISITORS’ CONVENIENCE ONLY, AND THE INCLUSION OF SUCH LINKS WITHIN THIS WEB SITE DOES NOT IMPLY ANY ENDORSEMENT, GUARANTEE, WARRANTY OR REPRESENTATION BY MED-EHUB.
Limitations. All subscribers and authorized visitors agree not to resell Med~eHUB content. Med~eHUB retains the right, at Med~eHUB's sole discretion, to determine whether or not conduct is consistent with the letter and spirit of these Terms of Use and may terminate use if conduct is found to be inconsistent with these Terms of Use.
Subscriber and Authorized Visitor Conduct. Use of Med~eHUB and its content is subject to all applicable local, state, national and international laws and regulations. Subscribers and authorized visitors agree: (1) to comply with US law regarding the transmission of technical data exported from the United States through the website; (2) not to use the website for illegal purposes; (3) not to interfere or disrupt networks connected to the website; and (4) to comply with all regulations, policies and procedures of networks connected to the website. Med~eHUB may, at its sole discretion, immediately terminate website use should conduct fail to conform to these terms and conditions of these Terms of Use.Indemnification. Subscribers and authorized visitors agree to indemnify and hold Med~eHUB, its subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Website, the violation of these Terms of Use by subscribers and authorized visitors, or the infringement by subscribers and authorized visitors, or other user of the Website using computer or other hardware or software, of any intellectual property or other right of any person or entity.
Termination. Med~eHUB reserves the right to terminate the website with or without cause at any time and effective immediately. Med~eHUB shall not be liable to subscribers and authorized visitors or any third party for termination of website. Should subscribers and authorized visitors object to any terms and conditions of these Terms of Use or any subsequent modifications thereto or become dissatisfied with the website in any way, sole recourse is immediately: (i) to discontinue use of Med~eHUB; and (ii) to terminate Med~eHUB subscription. Upon termination of the subscription, your right to use the Med~eHUB immediately ends.
Notice. All notices shall be in writing and shall be made primarily by e-mail and occasional as necessary by conventional mail. Med-eHUB may post notices on the website to inform subscribers and authorized visitors of changes to the Terms of Use, Privacy Policy or other modifications.
Proprietary Rights to Content. Subscribers and authorized visitors agree that content, including but not limited to text, software, graphics, name references or other material provided to or accessed by subscribers and authorized visitors by Med~eHUB is protected by copyrights, trademarks, website marks, patents or other proprietary rights and laws; subscribers and authorized visitors are only permitted to use this content as expressly authorized by Med~eHUB. Subscribers and authorized visitors may not copy, reproduce, distribute, or create derivative works from Med~eHUB without expressly being authorized to do so by Med~eHUB.
Links. Med~eHUB may provide links to other web sites or resources. Subscribers and authorized visitors agree that Med~eHUB is not responsible for the actions of external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. Subscribers and authorized visitors agree that Med-eHUB is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods or websites available on external sites or resources.
Laws. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, excluding its conflict of law provisions. Subscribers and authorized visitors and Med~eHUB agree to submit to the exclusive jurisdiction of the courts of the State of Florida. If any provision(s) of these Terms of Use is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect.
Miscellaneous. Med~eHUB's failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision unless agreed to by Med~eHUB in writing. Subscribers and authorized visitors and Med~eHUB agree that any cause of action arising out of or related to this website must commence within presiding law time and actions limitation after the cause of action arose; otherwise, such cause of action is permanently barred. In all jurisdictions, the applicable time period shall be the minimum allowed by law. The section titles in these Terms of Use are solely used for the convenience of the parties and have no legal or contractual significance.
